Scope of Services

TruePath Solutions LLC provides contract management lifecycle support, including intake, drafting assistance, process optimization, workflow development, and administrative coordination. Our services are consultative and administrative in nature. All approval authority remains solely with the Client’s designated decision-makers. The Client is responsible for reviewing, approving, and finalizing all documents, recommendations, and actions.

We do not:

  • Provide legal advice

  • Interpret laws, regulations, or legal obligations

  • Make legal, financial, or business decisions on behalf of the Client

  • Serve as an attorney, compliance officer, or fiduciary

Client Responsibilities

The Client agrees to:

  • Provide timely access to necessary information, documents, and stakeholders

  • Review and approval all drafts, recommendations, and deliverables

  • Ensure that all final decisions comply with internal policies, legal requirements, and organizational standards

  • Maintain appropriate legal counsel for matters requiring legal interpretation or risk assessment

Payment Terms

Invoices are issued according to the service agreement and project schedule.

  • Payment is due within 15 calendar days of the invoice date, including weekend and holidays.

  • Late payments may incur a 1.5% monthly fee on the outstanding balance.

  • If an invoice remains unpaid for more than 30 days, work may be paused until the account is brought current.

The Client is responsible for any fees associated with failed or returned payments.

Service Pauses and Delays

TruePath Solutions LLC reserves the right to pause work if:

  • Invoices remain unpaid beyond 30 days

  • Required information or approvals are not provided in a timely manner

  • Scope changes require clarification or a revised agreement

Any delays caused by the Client may impact timelines, deliverables, or project milestones.

Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the engagement. TruePath Solutions LLC will take reasonable measures to protect sensitive data but is not responsible for breaches outside of our control (e.g., third-party system failures).

Intellectual Property

Unless otherwise agreed in writing:

  • Materials, templates, workflows, and tools created by TruePath Solutions LLC remain our intellectual property.

  • The Client reviews a non-exclusive license to use deliverables internally for business purposes.

  • Consultant-created materials may not be resold, redistributed, or repurposed without written permission.

Limitation of Liability

TruePath Solutions LLC is not liable for:

  • Legal outcomes or compliance determinations

  • Business decisions made by the Client

  • Losses resulting from the Client’s failure to obtain legal review

  • Indirect, incidental, or consequential damages

Our total liability is limited to the amount paid by the Client for the services in question.

Termination

Either party may terminate the engagement with written notice according to the service agreement. The Client remains responsible for payment of all work completed up to the termination date.

Governing Law

These terms are governed by the laws of the state in which TruePath Solutions LLC operates, without regard to conflict-of-law principles.

Acceptance of Terms

By engaging TruePath Solutions LLC, the Client acknowledges and agrees to these Terms & Conditions.
